Terms and conditions of licence

Important: You must read and agree to the following terms and conditions of use and licence before ordering photos/images either as single files or part of a complete disc or downloading a photo or image from our website. The use of the photos/images indicates your acknowledgment of and agreement to these terms and conditions. If you are entering into this agreement on behalf of your employer, the licence is granted to the company and not to you as an individual and restrictions and limitations stated herein apply to your employer. Whilst employed by that company as a representative you will also be bound by this agreement. Should you cease working for your employer, your employer may continue to operate under this agreement. You will ensure all who use the images are employed by the company and are aware of the terms and condition of the licence as stated. 1.License Libraryphotos.com, grants you or your employer if you are licensing on behalf of your employer, a non-sublicensable, non-exclusive, royalty free licence to use images downloaded or supplied by Libraryphotos.com to use any of the photos/images obtained from libraryphotos.com on your personal computer. The images, software and disc may not be shared by creating a library, on an image storage device, network configuration or similar arrangement. Libraryphotos.com retain all rights not expressly granted by this agreement. The photos/images and/or disc are licensed only to you, or your employer if you are licensing on behalf of your employer. 2. Use The low-resolution images may be used in materials for personal, non-commercial use including producing compositions and layouts for final approval. The low-resolution images may not be used in any final materials distributed inside of your company or any materials distributed outside of your company or to the public, (except that you may transmit compositions or layouts digitally or electronically to your clients for their approval), and may not be distributed, sub-licensed or made available for use or distribution separately or individually, and no rights are granted to the Low resolution images. Libraryphotos.com’s high-resolution images: may be used as a part of advertising and promotional materials including products, print production, web design, broadcast, materials for personal, non-commercial use including compositions and layouts. No high-resolution image may be sub-licensed, resold or otherwise made available for use or distribution separately or detached from a product or web page. Photos/images may not be made available for downloading separately or in a format designed or intended for permanent storage or re-use by web-site users. Clients may be provided with copies of a high-resolution image (including digital files) as an integral part of work product, but may not be provided with a high-resolution image or permitted to use a high-resolution image separately. One copy of each image and the software may be made for backup purposes only, but may be used only if the original image or software becomes defective, or is destroyed or otherwise irretrievably lost. Except as stated in this agreement, no image, software or disc may be shared or copied. 3.Ownership Rights The copyright and other intellectual property rights of whatever nature in the Licensed Material are and shall remain the property of Libraryphotos.com and we reserve the right to grant licences to use the licensed material to any other parties. You shall notify Libraryphotos.com immediately if you become aware of any unauthorised use of the whole or any part of the licensed material by any person. You will permit Libraryphotos.com to check the use of the licensed material by you at all reasonable times. Libraryphotos.com reserves the right to discontinue the use of any image for any reason 4. Restrictions The images, software and disc may not be shared by creating a library, on an image storage device, network configuration or similar arrangement. You may not de-compile, dis-assemble, reverse engineer, copy, create a derivative work, or otherwise use the compact disc or the licensed material except as stated in these terms and conditions. You may modify, recreate, publish and distribute the photos/images contained in the Licensed Material in any media whatsoever provided that at no time shall you use the licensed material to create any works which are in the opinion of Libraryphotos.com scandalous, obscene, immoral Pornographic, defamatory, libellous or otherwise unlawful use of an image. You cannot utilise the licensed material in any way to create another image library or a product similar to or competes with licensed material. 5. Warranty The right to use the licensed material is granted without any further warranty, condition, representation or other term express or implied relating to the performance, quality or fitness for use of the licensed material. Libraryphotos.com shall not be liable for any loss or damage of any kind (other than personal injury or death) arising from use of the licensed Material or from errors deficiencies or faults therein, whether such loss or damage is caused by negligence or otherwise. Libraryphotos.com warrants the photos/images, and CD’s to be free from defects in material and workmanship for 90 days from delivery. The sole and exclusive remedy for a breach of the forgoing warranty is the replacement of the photos/images or CD. Libraryphotos.com makes no other warranty, express or implied, including, without limitation, any implied warranties or merchantability or fitness for a particular purpose. Libraryphotos.com shall be liable to you or any other person or entity for any general, special, direct, indirect, consequential, incidental or other damages arising out of this licence or otherwise. 6. Termination of License Libraryphotos.com may terminate the Licence forthwith on giving notice in writing to you if you commit any breach of any term of this Agreement and (in the case of a breach capable of remedy) shall have failed, within 14 days after receipt of a request in writing from Libraryphotos.com to remedy the breach. Forthwith upon the termination of the Licence you shall return to libraryphotos.com the CD or in the case of downloaded photos/images destoy all copies and all copies of the same or all materials derived from the same. 7. Assignment You shall not be entitled to sell, assign, sub-licence or transfer the licence whether in whole or in part. 8. Law All rights to the photos/images are owned by libraryphotos.com and are protected by United Kingdom copyright laws, and other applicable laws. © 2001 libraryphotos.com All rights reserved..
